Welcome to MERGERSALES ("Platform", "we", "our", "us"). These Terms of Use govern your access to and use of our confidential M&A marketplace. By accessing or using the Platform, you agree to be bound by these Terms.
Important: MERGERSALES is a communication platform, not an M&A advisor, broker, or transaction party. We do not verify listings, users, or transactions.
1. Platform Overview
MERGERSALES is a 100% free, global M&A marketplace where:
- Sellers can list businesses anonymously
- Buyers can browse opportunities without registration barriers
- All initial communications remain confidential within the platform
- No commissions, subscriptions, or hidden fees
2. User Responsibilities
You agree that:
- You are responsible for the accuracy of information you post
- You will conduct your own due diligence on any potential transaction
- You will obtain professional advice (legal, financial, tax) before engaging in any transaction
- You will not use the Platform for illegal, fraudulent, or misleading purposes
- You will maintain the confidentiality of information received through the Platform
3. Confidentiality System
Our platform is designed with confidentiality as the default:
- Anonymous Listings: Company names, brands, websites, exact locations, client names, and staff names are never publicly displayed
- Blinded Communication: Initial enquiries show only "Buyer [ID]" to sellers
- Controlled Disclosure: Identity disclosure happens only when both parties consent
- Document Protection: Teaser and IM documents are shared only after NDA execution
4. Prohibited Activities
You must not:
- Post false, misleading, or fraudulent information
- Circumvent the anonymity system to reveal identities without consent
- Use the Platform to harass, spam, or threaten other users
- Attempt to reverse engineer, hack, or disrupt the Platform
- Violate any applicable laws or regulations
5. Intellectual Property
The Platform, including its design, software, logos, and content, is owned by MERGERSALES or its licensors. You retain ownership of your listing content but grant us a license to display it on the Platform.
6. Limitation of Liability
To the fullest extent permitted by law, MERGERSALES and its affiliates shall not be liable for any:
- Direct, indirect, incidental, or consequential damages
- Losses arising from transactions conducted through the Platform
- Inaccuracies in user-provided information
- Unauthorized access to user data (despite our security measures)
- Platform downtime or technical issues
Our total liability shall not exceed $100 USD.
7. Account Termination
We reserve the right to suspend or terminate your account at any time, without notice, for violation of these Terms. You may delete your account and listings at any time.
8. Changes to Terms
We may modify these Terms at any time. Continued use of the Platform after changes constitutes acceptance. We will notify users of material changes via email or platform notification.
